APPLICATION CONFIDENTIALITY STATEMENT
For I-SAEF Grant Applicants
Please read this page carefully before proceeding
I-SAEF realizes that some of the applications for I-SAEF grants (“Grant Application”) may contain information which the applicant may consider confidential. We ask that you clearly mark “Confidential” any information in your Grant Application which you consider to be confidential information (“Confidential Information”).
As part of the review process, your Grant Application will be reviewed internally by I-SAEF and will also be provided to external reviewers. I-SAEF will endeavor to protect the confidentiality of Confidential Information included in your Grant Application and request the reviewers of your Grant Applications to do the same. However, there may be circumstances beyond our control that may cause the Confidential Information to be disclosed. Accordingly, in consideration for the review of your Application for an I-SAEF grant, you hereby release, waive, discharge and covenant not to sue I-SAEF and its officers, agents, employees, consultants and reviewers with respect to any and all liability, claims, demands, actions and causes of action that may arise or be sustained by you and/or your organization as a result of any disclosure of Confidential Information. In addition, you agree to that this waiver and release is applicable to successors in interest, if any. This Application Confidentiality Statement is to be construed under the laws of the state of California.
No confidentiality obligations will apply to information that:
1. is not clearly marked by you as “Confidential” in the Grant Application;
2. is in or falls into the public domain other than through the wrongful act or omission of I-SAEF;
3. is obtained by I-SAEF from a third party who (i) is rightfully in possession of the Confidential Information and (ii) does not violate any obligation of confidentiality by disclosing such Confidential Information.
4. is in I-SAEF’s possession and not subject to a duty of confidentiality prior to its disclosure by you to I-SAEF;
5. is independently developed by I-SAEF (or any of its officers, agents, employees, consultants and reviewers) without use of or reference to the Confidential Information; or
6. is required by applicable law to be disclosed by I-SAEF.
By submitting your Grant Application, you indicate that you have read and agree with this Application Confidentiality Statement. If you do not agree with this Application Confidentiality Statement, do not include any confidential information in or with your submission to I-SAEF.
